Let’s meet! In this 30-60 minute call or video meeting, you’ll tell us about your business, background, current situation, and goals. We’ll share our experience and the current market trends for your industry. Timing is everything and we will provide guidance on the best time to bring your business to market.

Valuation Optimization

Our team works closely with you to prepare financial statements and supporting documentation. We highlight the nuances that can position your business more favorably with buyers and investors while conducting a comprehensive valuation. This step will determine the market value of your business and provide a path to how we can achieve your short and long term goals. Once you send us the necessary reports, you’ll receive a valuation within two weeks.

Marketing and Connection Building

Leveraging our extensive network and industry expertise, we develop a customized marketing strategy to target only qualified corporate groups and private equity investors. We create a confidential information memorandum (CIM) highlighting the key attributes and value of your business, which is shared with prospective buyers under strict confidential agreements. On average, this step takes 30 days.

Negotiation

As interest from potential buyers is generated, our team manages the negotiations and meetings with interested parties while ensuring that your interests are properly represented. We’re right with you the entire time, advising and answering questions throughout and ensuring your key goals are addressed. 

Identify Buyer

Once a buyer is identified, we negotiate and finalize a letter of intent (LOI), outlining key terms and conditions of the transaction. We facilitate the due diligence process, coordinating with legal and other advisors to address any inquiries or requests for information. This includes the setup and management of a data room for all of the diligence material. From choosing a buyer to closing, it’s usually 45-60 days.

Purchase Agreement and Closing

We provide guidance with your counsel to ensure that all deal points are accurately reflected in the closing documents and facilitate the transfer of ownership and funds.

How much is my business worth?

The true value of your business is dependent on market conditions and current EBITDA multiples for your industry. We always conduct a full valuation before taking your business to market to determine the starting point for negotiations. Contact us to learn more about our valuation services.

How long will it take to sell my company?

We run a proven and organized sales process that can take 60-90 days (from signing an engagement letter with us to the successful execution of the transaction) in most cases.

I’m looking to retire in a few years – when should I get started?

Now! Most buyers will want you to stay on a minimum of one year in order to help ease the transition.

How much are your services?

We are paid a percentage of the final enterprise value at closing, similar to how the fees work with a real estate agent. We charge a flat rate for our valuation services that is subtracted from the fee should you move forward with the sale of your business.

What is the process to sell?

We manage the entire mergers and acquisitions process throughout until the successful completion of the transaction. We have an introductory conversation with you to learn about your goals and your business. We can schedule an in-person meeting if needed to discuss your unique situation – we work with founders across the United States. From there, we conduct a valuation to determine a range of potential offers and the types of buyers you can expect. After we sign an engagement letter, we’ll get full data on your business, create marketing materials, and then reach out to a targeted list of buyers that can meet your needs. We negotiate offers and terms, oversee diligence, and move the process all the way to close.
